# VC Fund Manager Add-On Charter

## Section 1 — Scope

1.1 This Add-On Charter authorizes the manager to operate venture capital funds, seed funds, and closely related venture-style pooled vehicles within the defined license perimeter.

1.2 The charter covers fund governance, investment selection, portfolio monitoring, and capital deployment into venture-stage companies or comparable private-growth targets.

## Section 2 — Permitted activities

2.1 Managing VC funds on a discretionary basis.

2.2 Advising on VC investment strategy and portfolio construction.

2.3 Coordinating fund administration, valuation oversight, investor reporting, and portfolio-company monitoring.

2.4 Entering into placement, subscription, or capital-call administration processes only when separately permitted and documented.

## Section 3 — Restrictions

3.1 No public retail fund authorization.

3.2 No blanket hedge-fund authority.

3.3 No custody, nominee, escrow, or safekeeping authority unless separately granted.

3.4 No exchange, broker-dealer, or order-routing authority by this add-on alone.

## Section 4 — Operating conditions

4.1 The manager shall serve only the investor class stated in the publication manifest or in the fund-specific supplement.

4.2 The manager shall use segregated fund documentation and shall not mix VC mandates with public-market or leveraged trading mandates unless a separate add-on is published.

4.3 The manager shall maintain conflicts, valuation, and disclosure controls appropriate for private capital.

## Section 5 — Companion permissions

5.1 If the business model includes standalone advice, `activity.investment_adviser` is also required.

5.2 If the business model includes order execution or trade placement, `activity.dealing_arranging` is also required.

5.3 If the business model includes custody or fund-asset safekeeping, `activity.custody_nominee_escrow` is also required.

## Section 6 — Non-claims

6.1 This add-on does not create banking status, deposit-taking status, or local venture-fund registration.

6.2 This add-on does not create host-state authorization without local counsel and local filings where required.
