# Hedge Fund Manager Add-On Charter

## Section 1 — Scope

1.1 This Add-On Charter authorizes the management of hedge funds, private funds, and alternative investment vehicles using discretionary investment authority.

1.2 The charter covers trading strategies that may include long/short equity, relative value, macro, event-driven, credit, commodity-linked, or derivative-based strategies, subject to separate product permissions where required.

## Section 2 — Permitted activities

2.1 Discretionary portfolio management for pooled funds.

2.2 Investment selection, rebalancing, and risk management for alternative funds.

2.3 Fund-level allocation, leverage monitoring, collateral oversight, and liquidity management.

2.4 Advising on fund strategy and portfolio construction.

## Section 3 — Restrictions

3.1 No retail fund authorization.

3.2 No custody, nominee, escrow, or safekeeping authority unless separately granted.

3.3 No blanket securities-broker, exchange, or ATS authority.

3.4 No derivatives or commodities authority unless those instruments are expressly permitted in the publication manifest or an additional add-on.

## Section 4 — Operating conditions

4.1 The manager shall maintain side-letter, allocation, and conflicts controls suitable for private-fund operation.

4.2 The manager shall maintain valuation, liquidity, and risk controls for illiquid and leveraged positions.

4.3 The manager shall use third-party custodians, administrators, or prime brokers unless the custody add-on is separately published.

## Section 5 — Companion permissions

5.1 If the business model includes transaction execution or trade routing, `activity.dealing_arranging` is also required.

5.2 If the business model includes client advice outside pooled-fund management, `activity.investment_adviser` is also required.

5.3 If the business model includes custody or asset control, `activity.custody_nominee_escrow` is also required.

## Section 6 — Non-claims

6.1 This add-on does not create banking, deposit-taking, or exchange membership rights.

6.2 This add-on does not create cross-border marketing rights unless the relevant jurisdictional approval is separately recorded.
