# 7T2 CAPITAL Asset Management Core Charter

## Section 1 — Purpose

1.1 This Charter establishes 7T2 CAPITAL as a regulated asset-management institution within the GUOSMM licensing framework.

1.2 The Charter is the baseline instrument for VC, hedge, and wealth management activities and does not itself confer product-specific permissions beyond the companion add-ons published with this package.

## Section 2 — Permitted activities

2.1 Operate as an asset-management institution for private capital and discretionary managed-account services.

2.2 Maintain investment governance, portfolio oversight, risk governance, investor reporting, and fund-administration coordination.

2.3 Coordinate with third-party custodians, administrators, counsel, auditors, and prime brokers where separately permitted.

## Section 3 — Restrictions

3.1 No banking, deposit-taking, payment-institution, or e-money status.

3.2 No broker-dealer, exchange, ATS, or market operator status.

3.3 No custody, nominee, escrow, or safekeeping authority unless separately granted.

3.4 No derivatives, commodities, FX, or securities dealing authority unless separately published.

## Section 4 — Operating conditions

4.1 7T2 CAPITAL shall maintain fit-and-proper leadership, AML/CFT controls, conflicts controls, valuation controls, and recordkeeping controls.

4.2 The entity shall separate VC, hedge, and wealth mandates so that each line is governed by its own add-on and investor-class boundary.

4.3 Any host-state authorization, passporting, or local solicitation right remains subject to respondent-jurisdiction law.

## Section 5 — Companion permissions

5.1 VC fund activity requires `activity.vc_fund_manager`.

5.2 Hedge / private fund activity requires `activity.hedge_fund_manager`.

5.3 Wealth / discretionary managed-account activity requires `activity.wealth_manager`.

5.4 Standalone advice, dealing, arranging, execution, or custody require their own express permissions.

## Section 6 — Non-claims

6.1 This Charter does not create host-state regulatory equivalence.

6.2 This Charter does not itself authorize public retail distribution.
