# 7T2 CAPITAL Hedge Fund Manager Add-On Charter

## Section 1 — Scope

1.1 This Add-On Charter authorizes hedge fund and private fund management by 7T2 CAPITAL.

1.2 The charter covers alternative investment strategies including long/short, relative value, macro, event-driven, credit, commodity-linked, and derivative-based strategies where separately permitted.

## Section 2 — Permitted activities

2.1 Discretionary portfolio management for pooled funds.

2.2 Fund-level allocation, leverage monitoring, collateral oversight, and liquidity management.

2.3 Investment selection and risk management for alternative funds.

2.4 Fund strategy advice.

## Section 3 — Restrictions

3.1 No retail fund authorization.

3.2 No custody, nominee, escrow, or safekeeping authority unless separately granted.

3.3 No blanket securities-broker, exchange, or ATS authority.

3.4 No derivatives or commodities authority unless expressly stated in a product-specific add-on or schedule.

## Section 4 — Operating conditions

4.1 7T2 CAPITAL shall maintain side-letter, allocation, conflicts, valuation, and liquidity controls suitable for private-fund operation.

4.2 Hedge mandates shall remain segregated from VC and wealth mandates.

4.3 The entity shall use third-party custodians, administrators, or prime brokers unless custody authority is separately published.

## Section 5 — Companion permissions

5.1 `activity.dealing_arranging` if execution or trade routing is performed in-house.

5.2 `activity.investment_adviser` if standalone advice outside pooled management is offered.

5.3 `activity.custody_nominee_escrow` if custody or asset control is performed.

## Section 6 — Non-claims

6.1 This add-on does not create banking, deposit-taking, or exchange membership rights.

6.2 This add-on does not create cross-border marketing rights unless the relevant jurisdictional approval is separately recorded.
