# 7T2 CAPITAL VC Fund Manager Add-On Charter

## Section 1 — Scope

1.1 This Add-On Charter authorizes venture capital fund management by 7T2 CAPITAL.

1.2 The charter covers seed, venture, and early-growth pooled vehicles and related venture-style private capital strategies.

## Section 2 — Permitted activities

2.1 Discretionary management of VC funds.

2.2 Venture investment selection, portfolio monitoring, and capital deployment.

2.3 Investor reporting, valuation oversight, and fund-administration coordination.

2.4 Standalone advice only if separately authorized.

## Section 3 — Restrictions

3.1 No retail fund authorization.

3.2 No blanket hedge-fund authority.

3.3 No custody, nominee, escrow, or safekeeping authority unless separately granted.

3.4 No exchange, broker-dealer, or order-routing authority by this add-on alone.

## Section 4 — Operating conditions

4.1 7T2 CAPITAL shall serve only the investor class stated in the publication registry or the fund-specific supplement.

4.2 VC mandates shall remain segregated from hedge and wealth mandates.

4.3 The entity shall maintain conflicts, valuation, and disclosure controls appropriate for private capital.

## Section 5 — Companion permissions

5.1 `activity.investment_adviser` if standalone advice is offered.

5.2 `activity.dealing_arranging` if execution or placement is performed in-house.

5.3 `activity.custody_nominee_escrow` if custody or fund-asset safekeeping is performed.

## Section 6 — Non-claims

6.1 This add-on does not create banking status, deposit-taking status, or local venture-fund registration.

6.2 This add-on does not create host-state authorization without local counsel and local filings where required.
