# Central Bank Charter — OMNL

**Enabling act:** GUOSMM-A-2026-001

## Chapter I — Constitution and Seat

1.1 The institution chartered hereby is the **Electronic Money Central Bank (EMCB)** of the Order, operating as **OMNL** (Legal Entity Identifier: 98450070C57395F6B906).  
1.2 OMNL possesses legal personality under Order law for the exercise of central banking functions over the Order's **electronic money system** — payment rails, prudential supervision, and e-money circulation administration.  
1.3 **Issuance** of electronic monetary instruments rests with the Monetary and Treasury Administration under GUOSMM-A-2026-001; this Charter does not confer sovereign fiat mint authority on OMNL.

## Chapter II — Objectives

2.1 Monetary and financial stability within the Order's monetary jurisdiction.  
2.2 Payment and settlement system integrity.  
2.3 Reserve management and transparency.  
2.4 Supervision of Order-chartered financial institutions under applicable licensing frameworks.

## Chapter III — Capital and Reserves

3.1 Reserve composition governed by GUOSMM-B-2026-002 (Reserve Asset Policy).  
3.2 Eligible assets include XAU, XAG, sovereign bonds, and SDR-linked instruments per published policy.

## Chapter IV — Governance

4.1 Board of Directors with fit-and-proper standards.  
4.2 Audit committee and independent external audit (GUOSMM Series E).  
4.3 Accountability to Order constitutional authorities.

## Chapter V — Monetary Operations (Treasury issuance; OMNL administration)

5.1 **Issuance authority** rests with the **Monetary and Treasury Administration** under GUOSMM-A-2026-001. OMNL does not authorize monetary base expansion.  
5.2 OMNL **administers circulation** of Treasury-issued instruments: ledger posting, redemption execution, reserve requirements, and liquidity operations on authorized issuance only.  
5.3 No monetary base expansion shall be posted without a Treasury issuance instruction and compliance with GUOSMM-B-2026-002 (Reserve Asset Policy).  
5.4 ISO 20022 messaging alignment for interoperability with correspondent and standards infrastructure.

## Chapter VI — Supervision

6.1 Prudential supervision of institutions licensed under Order frameworks.  
6.2 Cooperation with correspondent institutions and standards bodies through notice and practice — not extraterritorial compulsion.

## Chapter VII — Reporting and Transparency

7.1 Quarterly reserve reports (Series E).  
7.2 Annual independent audit publication (Series E).

## Chapter VIII — Dispute Resolution

8.1 ICC Arbitration (Paris) / UNCITRAL by reference for institutional disputes.

## Chapter IX — Amendment

9.1 Amendments published in GUOSMM Series B.  
9.2 Commencement: 2026-06-13T00:00:00Z.
